Small-cap corporate activity ran hot, headlined by a transformational all-share acquisition in the resources space and a landmark merger proposal in Greenland. Elsewhere, a cluster of half-year results told a story of cost discipline paying off, from Acuity RM's near-breakeven turnaround to Itaconix's first profitable quarter, while exploration newsflow from ECR Minerals to Serval Resources kept the drill-bit stories flowing.

Gem Resources buys operating Colombian gold plant

Gem Resources (LSE:GEMR), trading at 0.35p, has signed a conditional agreement through its Hong Kong subsidiary GemR Corporation to acquire 100% of CREC Material Co SAS, owner of the El Yarumo gold processing operation in Colombia's Cauca region. The London-listed natural resources company, which has focused on identifying and advancing mining opportunities, is paying entirely in shares, 150m new shares at 0.5p each, valuing the deal at £750,000, marking a pivot from exploration ambitions toward an asset already generating revenue.

El Yarumo is already processing gold-bearing material, according to management information that Gem Resources has yet to independently verify ahead of completion. Independent engineers who inspected the plant in July put sustainable throughput at roughly 2.5 tonnes per hour on the current line, rising to about 3.7 tonnes per hour combined if a second line is rehabilitated at an estimated cost of $150,000 to $250,000. Crucially, no shares change hands until completion and confirmed control of CREC, with issuance staged against verified net cash profit, half at £375,000 cumulative, the rest at £750,000, over an 18-month security period.

"The key attraction of El Yarumo is that GEMR has signed a conditional agreement to acquire an operating gold processing business rather than a greenfield development project," said Louis Ching, Executive Chairman of Gem Resources.

The staged, profit-linked share release is the structure that matters here: it protects Gem Resources shareholders from paying for an asset that fails to perform, while giving CREC's owners a clear incentive to deliver verified cash profit rather than paper promises. But completion is far from a formality, unresolved Colombian regulatory matters, including processing permissions and water discharge permits, sit alongside standard KYC and allotment conditions, meaning the deal's true test comes only once diligence closes out.

80 Mile agrees indicative all-share merger terms with Greenland Energy

80 Mile (AIM:80M), up 6.67% to 0.8p, has agreed indicative terms for an all-share merger with Greenland Energy Company, its existing joint venture partner in the Jameson Land Basin. Under the proposed terms, 80 Mile shareholders would receive 0.01108 new Greenland Energy shares for every 80 Mile share held, a ratio that, based on Greenland Energy's Nasdaq close of $1.37 on 4 September, values 80 Mile's issued share capital at £61.48m, or roughly 1.1p per share.

That indicative price represents a 42.86% premium to 80 Mile's undisturbed closing price and a 64.18% premium to the level at which the company last placed shares in July, underlining how far sentiment has lagged the underlying asset. Greenland Energy holds rights to earn up to a 70% working interest across 2.1m acres of the Jameson Land Basin, where independent engineering work has identified gross unrisked prospective recoverable resources running into the billions of barrels-equivalent.

"Our ambition is straightforward: to build a great company in Greenland, with Greenland and for Greenland," said Dundas, Executive Chairman. For 80 Mile shareholders, the merger would convert a minority joint-venture stake into direct exposure to a Nasdaq-listed vehicle with broader access to US capital markets, a potentially significant re-rating catalyst if terms are finalised on this basis.

Acuity RM narrows losses thanks to cost cuts

Acuity RM Group (AIM:ACRM), down 4.55% to 0.692p, reported an operating loss of just £10,000 for the six months to 30 June, sharply narrowed from £282,000 a year earlier. The AIM-listed cybersecurity risk management software provider credited a completed cost-cutting programme, with administrative expenses down 38% to £792,000, pulling loss before tax in to £34,000 from £263,000 and loss per share to 0.01p from 0.16p.

Revenue told a more mixed story, falling 23% to £877,000 from £1.145m, which the company attributed to prior-year subscription cancellations and an order pipeline weighted toward the second half of 2026. Debt fell to £79,000 from £129,000 in December, helped by a £458,000 gross equity raise completed in July.

"These results show the improvement in financial performance we have been working towards. The Group's operating result is now close to breakeven, with administrative expenses 38% lower than a year ago," said David Rajakovich, Chief Executive. The near-breakeven position gives Acuity RM a credible platform to absorb the expected second-half pipeline conversion without needing further dilutive fundraising, provided revenue recovers as guided.

EnergyPathways hires Jacobs for MESH storage project

EnergyPathways (AIM:EPP), up 7.27% to 7.08p, has appointed Jacobs (NYSE:J) as strategic engineering and regulatory partner for its proposed long-duration energy storage project in the Irish Sea and Barrow-in-Furness. Jacobs will lead planning, consenting and environmental services for the scheme, known as MESH, including support for the company's submission to Ofgem's forthcoming Cap and Floor round for long-duration storage.

MESH has already been designated a project of national significance by the UK government, targeting 300MW of capacity, 55 gigawatt-hours of storage and duration exceeding 100 hours, a scale that would make it the UK's largest long-duration storage scheme. The Cap and Floor mechanism offers approved projects a sovereign-guaranteed revenue floor, a structure designed to unlock both private debt and equity investment once eligibility is confirmed.

"Successful eligibility in the Cap and Floor scheme offers a sovereign revenue guarantee that will significantly de-risk MESH and make it a highly bankable infrastructure asset for both debt and equity financing," Ben Clube, Chief Executive of EnergyPathways. Richard Sanderson, President, added that "as the UK accelerates investment in nationally significant energy infrastructure, successful delivery depends on a consenting strategy that integrates environmental stewardship and robust regulatory planning." Ofgem's eligibility ruling is now the pivotal near-term catalyst that will determine whether MESH can attract the institutional capital its scale demands.

Cambridge Nutritional Sciences says its ready to turn potential into growth

Cambridge Nutritional Sciences (CNSL), down 24.32% to 1.4p, reported a pre-tax loss of £4.4m for the year to 31 March as revenue fell 16%. The AIM-listed diagnostics company undertook a UK restructuring that cut headcount in response to the softer top line.

The scale of the share price fall reflects investor disappointment at both the revenue decline and the widened loss, even as management frames the restructuring as groundwork for renewed growth. The company's task now is converting the cost base reset into a credible path back to revenue expansion.

Headlam sells Bristol distribution centre for £3.15m

Headlam Group (HEAD), up 12.66% to 10.5p, has sold its Bristol distribution centre for £3.15m in a sale-and-leaseback transaction, booking a 50% premium to book value. Proceeds are earmarked for debt repayment.

The premium achieved signals that Headlam's property portfolio carries value beyond its carrying cost, giving the flooring distributor a lever to strengthen its balance sheet without touching operations. The market's sharp positive reaction suggests investors see more such disposals as a viable route to deleveraging.

Total Graphite reports strong Vatomina infill drilling results

New infill drilling at the Old Mine area of the Vatomina project, conducted for Tirupati Graphite, has confirmed a thick, high-grade graphite seam and identified a new extension zone. The results arrive ahead of a planned restart mine plan for the site.

Confirmation of seam thickness and grade, plus the discovery of an extension zone, expands the resource base management can draw on when finalising restart economics, potentially improving the project's overall mine life and payback profile.

Inspiration Healthcare guides slightly ahead as core SLE unit surges

Inspiration Healthcare Group (IHC), up 8.11% to 20.0p, said it now expects to close the year slightly ahead of market expectations after underlying SLE revenue grew 38% in the first half. The neonatal medical device maker's core franchise is clearly accelerating.

That growth rate in the SLE business is well above what the market had been modelling, and the upgrade, even a modest one, suggests management has genuine visibility on order flow rather than one-off timing benefits, supporting the case for further estimate upgrades as the year progresses.

ProService completes pivot to pure-play marketplace model

ProService Building Services Marketplace (PRO), up 6.91% to 2.63p, has confirmed its shift away from asset ownership after disposing of The Hire Service Company and completing a post-year-end refinancing.

The disposal removes capital-intensive hire assets from the balance sheet, leaving ProService positioned as an asset-light marketplace operator, a model that should carry a different, typically higher, earnings multiple if execution follows through.

Checkit sets 30p floor as sale process nears conclusion

Checkit (CKT), up 4.76% to 22.0p, says it will not entertain takeover proposals below 30p a share as its board looks to wrap up the formal sale process around its interim results.

Setting a public floor well above the current 22.0p share price signals the board's confidence in Checkit's standalone value and puts pressure on any prospective bidder to move decisively rather than probe with a lowball approach.

Gear4music trading in line as sales rise 7.3%

Gear4music (G4M), down 7.79% to 260.5p, told shareholders at its AGM that trading for the year to date matches Board expectations, with five-month sales up 7.3% despite a summer slowdown.

The share price fall looks disconnected from the in-line update itself, though the acknowledged summer softness may be weighing on sentiment ahead of the more important seasonal trading period later in the year.

STV Group revenue falls, impairment drives statutory loss

STV Group (STVG), down 7.59% to 103.5p, reported first-half revenue of £66.1m, down from £90m a year earlier, after a £25.4m non-cash impairment in its Studios division pushed the group to a statutory operating loss.

The impairment is a non-cash accounting charge rather than a cash drain, but the scale of the revenue decline in the underlying Studios business is the more concerning signal for the investment case, pointing to genuine commissioning pressure rather than just a write-down technicality.

Bluebird pivots to gold and Bitcoin streaming after Korea exit

Bluebird Mining Ventures (BMV), down 1.33% to 0.0444p, has secured an option over a 64,000-ounce gold resource as it reshapes itself roughly scarce monetary assets following the disposal of its South Korean subsidiaries.

The strategic reset toward gold and Bitcoin-linked exposure is a significant departure from Bluebird's prior operating footprint, and the option structure gives the company optionality on the gold asset without an immediate capital outlay.

Itaconix sees break-even as revenue jumps

Itaconix (ITX), down 0.48% to 206.0p, posted record first-half revenue and its first period of break-even adjusted EBITDA, while reiterating full-year guidance of at least $14.8m.

Reaching break-even EBITDA for the first time is a meaningful inflection point for the plant-based polymers maker, and reiterated guidance suggests management sees the improvement as structural rather than a one-off period benefit.

Journeo revenue jumps 53% in record first half

Journeo (JNEO), down 3.75% to 525.5p, grew profit and pipeline sharply in a record first half, with the newly acquired Infrastructure Protection unit contributing its first full half-year result.

The 53% revenue jump shows the Infrastructure Protection acquisition is already earnings-accretive rather than a drag during integration, though the share price move suggests some profit-taking against a stock that had already priced in strong growth.

Flowtech Fluidpower (FLO), down 1.47% to 67.0p, grew first-half revenue to £70.4m and said it remains on track to meet full-year market expectations, with stronger profitability and cash generation expected in the second half.

Management's confidence in a stronger second half implies margin recovery is already visible in current trading, giving the fluid power group a credible basis for holding full-year guidance despite the muted share price reaction.

The Pebble Group (PEBB), down 2.46% to 59.5p, reported first-half revenue up to £60.7m and reiterated that full-year results will meet market expectations, with Facilisgroup targeting double-digit revenue growth in the second half.

Growth across both operating units, alongside a specific double-digit growth target for Facilisgroup, gives the reiterated guidance more substance than a generic in-line statement.

Gaming Realms (GMR), down 1.99% to 29.6p, confirmed trading in line with expectations and reiterated confidence in full-year guidance as content licensing revenue accelerated further after the period end.

Mobico Group (MCG), up 0.7% to 23.543p, repeated full-year guidance as group revenue grew 5% in the second quarter, with strong Alsa performance and German Rail's recovery offsetting weakness in WeDriveU and UK Coach.

The mix of strength and weakness across divisions underscores how uneven Mobico's turnaround remains, with continental operations carrying the group while its US and UK coach businesses continue to lag.

James Fisher and Sons (FSJ), down 1.54% to 448.0p, grew first-half operating profit by nearly a third as Defence and Maritime Transport offset weakness in its Energy division, with full-year guidance left unchanged.

The near one-third profit growth despite a soft Energy division shows the diversification strategy is working as intended, with Defence increasingly the engine of group earnings.

Fuller, Smith & Turner (FSTA), up 0.83% to 726.0p, is funding the acquisition of 10 London and Bath pubs from existing debt facilities, paying 8.4 times site EBITDA.

OptiBiotix Health (OPTI), up 2.96% to 5.92p, said "we are encouraged by the level of interest in SweetBiotix from major partners, including a recent approach from a global beverage company," according to chief executive Stephen O'Hara.

An inbound approach from a global beverage company is a concrete validation point for SweetBiotix, giving the sugar substitute programme a tangible commercial lead rather than a purely developmental narrative.

Xeros Technology moves revenue milestones into 2027

Xeros Technology Group (XSG), down 11.11% to 1.2p, has pushed key revenue milestones out to 2027. "The board and I remain excited by the interest levels in, and potential for, Xeros's Technology," said chief executive Neil Austin.

The slippage in timeline explains the sharp share price fall, as investors reprice the delay between commercial interest and the cash generation needed to justify the current valuation.

ECR Minerals (ECR), up 9.09% to 0.18p, has identified a visibly gold-bearing quartz structure that may link its Maddens Mine workings to a wider mineralised system.
