AB Dynamics buys US test systems maker eMpulse

AB Dynamics (AIM:ABDP) has agreed to acquire eMpulse Test Systems, a Michigan-based maker of servoelectric test systems for the global automotive industry.

The designer and supplier of testing, simulation and measurement products to the global transport market is paying initial cash consideration of $11m (£8.1m), funded from existing cash resources, with a further $1.8m (£1.4m) expected from working capital adjustments.

Contingent consideration of up to $15m follows across three annual tranches, tied to performance targets, taking the maximum total to roughly $27.8m.

eMpulse, a former division of TUV SUD America before a 2021 management buyout, serves predominantly North American automotive customers in noise, vibration and harshness testing, and structural and durability testing.

On unaudited accounts, eMpulse generated revenue of $5.5m in the year to 31 December 2025, down from $9.3m in 2024 after global tariffs disrupted its markets, though trading has recovered in the first half of the current year.

AB Dynamics views eMpulse's product range as complementary to its own Suspension Parameter Measurement Machine, and expects to cross-sell eMpulse's technology through its existing sales network, particularly into markets such as Japan where eMpulse has presence.

"We expect the acquisition to provide us with an excellent platform for growth," said chief executive Sarah Matthews-DeMers.

The board expects the deal to be earnings enhancing in the 2027 financial year, with benefits building as sales synergies materialise.
