African Pioneer (LSE:AFP), the exploration and resource development company with projects in Namibia, Zambia and Botswana, has signed a definitive financing and technical services agreement with Hong Kong Xinhai Mining Services covering its Ongombo and Ongeama copper projects in Namibia.

Xinhai, an engineering, procurement, construction and mine development group with more than 500 completed EPC projects worldwide, will fund a new Holding Company set to own 95% of the Namibian Projects through a 10% interest-bearing loan.

The loan covers four development milestones, from 7,000 metres of drilling through to commercial production of at least 720,000 tonnes per annum, with an estimated total cost of approximately $60 million.

Xinhai can elect to convert the loan into equity, taking a 53.68% stake in the Holding Company after milestone three, rising to 73.68% after milestone four; African Pioneer would then retain the option to convert its residual stake into a 4% net smelter royalty on the projects' gross revenue.

Separately, Xinhai will subscribe £712,786 for 61.98 million African Pioneer shares at 1.15p, a 6.5% premium to the 1.08p closing price on 29 July, taking a 10% stake and board representation, alongside warrants at 1.6p exercisable after milestone four.

Chairman Colin Bird said the Ongombo mine holds around 300,000 tonnes of contained copper with gold byproduct, and the agreement is "constructed in clearly defined stages" to fast-track development "whilst the copper and gold prices are close to their peak".

Conditions precedent, including Chinese regulatory approvals, are expected to be satisfied within 20 business days.

News Intelligence what this means for the company

African Pioneer has secured a definitive financing agreement with Chinese mining group Xinhai to fund its Namibian copper projects, moving from a non-binding term sheet signed in June to a binding deal. Xinhai will provide approximately $60 million in staged funding via a 10% interest-bearing loan covering four development milestones from drilling through commercial production of 720,000 tonnes per annum, with an option to convert into majority equity stakes (53.68% after milestone three, 73.68% after milestone four). The deal also includes a £712,786 share subscription giving Xinhai a 10% stake and board seat, plus warrants—de-risking African Pioneer's path to production while the company retains a 4% net smelter royalty option on residual equity.

Investment case

The definitive agreement removes execution risk on the Ongombo-Ongeama projects and provides full funding certainty through commercial production, though African Pioneer's equity ownership will dilute significantly if Xinhai exercises all conversion rights (retaining only royalty upside thereafter). The 20-business-day regulatory approval window and Xinhai's board seat introduce near-term catalysts and operational oversight, while the staged milestone structure aligns funding with de-risking—a material shift from exploration-stage uncertainty to funded development.
