Verici Dx to raise £2.5m for commercial scale-up

Verici Dx (LSE:VRCI) is conducting a placing of at least 700 million new shares at an issue price of 0.35p, representing a 17.6% discount to the closing mid‑price on 4 June, alongside a separate Winterflood WRAP retail offer for up to 57.14 million new shares to raise up to £0.2 million, both announced today.

The company says the net proceeds will be used, in priority order, to add commercial and supporting personnel, fund targeted KOL engagement, conference presence and educational campaigns, support investigator‑initiated trials and publications, and cover working capital and capital expenditure, and Verici Dx is a precision diagnostics company focused on post‑kidney transplant tests.

The placing is being run by accelerated bookbuild and the minimum 700 million Placing Shares represent at least 47% of the existing issued ordinary share capital, implying the placing alone would be roughly 32% of the enlarged share capital and c.33.7% including the WRAP Retail Offer.

The raise targets EIS/VCT investors for part of the placing, Harwood Capital has indicated an intention to participate, certain directors and officers are expected to participate, and Singer Capital Markets and Oberon Capital are joint brokers and joint bookrunners.

Verici Dx reported unaudited net cash of approximately $1.3 million as at 31 March and $3.3 million at 31 December 2025, so the £2.5 million (c.$3.3 million) placing would lift pro forma cash to approximately $4.6 million (c.£3.5 million) before expenses and, the company said, should provide a cash runway to at least the end of 2026.

The Fundraising is conditional on shareholder authorities to allot new shares and disapply pre‑emption rights at a general meeting, the company expects the General Meeting on 22 June and Admission of the Placing Shares no later than 8.00am on 23 June.
