BSF Enterprise (LSE:BSFA) announced it has reorganised its corporate structure, splitting intellectual property and manufacturing from commercial consumables sales in what it calls a hub-and-spoke operational model.
The London-listed life sciences group, which develops lab-grown tissues and cultivated leather through its ATEP™ biofabrication platform, said the move is designed to streamline operations and clarify commercial channels across its subsidiary portfolio.
Wholly owned subsidiary Cultivated Meat Technologies has changed its name to milieu.bio following registration at Companies House, becoming the group's dedicated commercial vehicle for cell-culture media supplements CityMix™ and CytoBoost™.
These proprietary macromolecular crowding additives are aimed at external biopharma, cell therapy and cellular agriculture customers; 3D Bio-Tissues, the subsidiary that supplies culture media and has a material supply agreement underpinning an active £500,000 pipeline, previously handled these direct sales alongside its tissue engineering and corneal work.
Under the new framework, 3D Bio-Tissues will concentrate on core research, scaffolding technology, patent prosecution and contract manufacturing, formulating and releasing inventory from its Newcastle upon Tyne laboratories on an arm's-length cost-plus basis while retaining ownership of the underlying patents and formulation know-how.
It will receive an ongoing intellectual property licence royalty based on milieu.bio's gross external invoiced sales, alongside preferred internal pricing when milieu.bio supplies other Group subsidiaries such as Lab-Grown Leather.
BSF said structuring milieu.bio as an asset-light, standalone operating entity, free of laboratory capital spending or facility leases, gives the Group the option to pursue third-party investment or strategic partnerships at the subsidiary level.
"Renaming and refocusing CMT into milieu.bio establishes a dedicated commercial partner for cell-culture media supplements, providing clear market positioning," said Che Connon, chief executive of BSF Enterprise.
He added that BSF is "delivering the practical, high-value consumables that enable biomanufacturing sectors to scale efficiently."
