Valereum (AQSE:VLRM), which is aiming to become a leader in tokenised digital markets, said its Definitive Agreement with Quorium Global Photonics SPC (QGP) has become unconditional, more than four months after the deal was first announced on 22 April.
The company will receive VGOLD-CORE+ tokens valued at approximately $279.5 million, backed by JORC-certified gold mining reserves in Queensland, Australia, paid in quarterly instalments over five years.
Valereum has already received 275,000 of these tokens and has been granted a first-ranking security interest worth $300 million over the underlying mining leases, which the board says allowed it to declare the agreement unconditional without completing separate liquidity-pool testing.
The tokens remain subject to that liquidity testing, with no timeline given, and the company acknowledges it may be unable to sell them or realise their full value.
In exchange, Valereum will issue 55 million new shares to QGP at par value, restoring its stake to 49.9% after dilution reduced it to 44.82%.
QGP's previous $1 billion funding facility has been terminated, and Valereum must return $200 million of QMTN bond tokens, forfeiting an annual coupon of $15.9 million it had been entitled to receive through 2030.
