RC365 Holding (LSE:RCGH), the London-listed payments and fintech group, said its wholly owned Hong Kong subsidiary Regal Crown Technology has agreed a referral partnership with Central Wealth Securities Investment.

The deal runs for an initial five years with automatic five-year renewals, and marks the group's third commercial relationship for its RC3.0 Business Virtual Account (BVA) platform since it entered soft-launch on 8 June.

Central Wealth will introduce prospective clients from its securities business, including licensed industry participants, high-net-worth individuals and regional enterprises, to RCTECH's BVA and related software-as-a-service (SaaS) offerings.

Regal Crown will pay Central Wealth a referral fee for each client that opens a virtual account and clears compliance checks, with monthly reconciliation and payment within 15 business days.

The agreement sets no minimum referral volume or revenue commitment, and all referred clients face RCTECH's standard know-your-customer, risk and compliance screening, with the company retaining sole discretion over approvals and account closures.

Chi Kit (Michael) Law, RC365's chief executive, said the tie-up "provides access to Central Wealth's network across multiple industries" and represents "another step towards developing recurring SaaS subscription and usage-based income from RC3.0, with revenue dependent on successful client conversion, onboarding and subsequent activity".

The arrangement is non-exclusive, and the company said the financial contribution cannot yet be quantified, pending client conversion and onboarding.

News Intelligence what this means for the company

RC365 has signed its third referral partnership for RC3.0, this time with Central Wealth Securities Investment, a five-year non-exclusive deal with no minimum volume or revenue commitment. The arrangement funnels enterprise clients and high-net-worth individuals into the BVA platform on a pay-per-conversion basis, with RC365 retaining full discretion over client approval and account closure. This is the third such partnership since RC3.0 entered soft-launch on 8 June, but the deal carries no financial guarantee and revenue depends entirely on client conversion and subsequent activity.

Investment case

The deal extends RC365's referral network for RC3.0 but does not alter the core uncertainty: revenue remains contingent on client conversion and platform adoption, with no minimum commitments to anchor near-term cash flow. This fits the company's stated path toward recurring SaaS subscription income, but the lack of volume or revenue guarantees means each partnership is a channel-building exercise rather than a revenue commitment.
