Amcomri (AIM:AMCO), the AIM-listed specialist engineering services and industrial manufacturing group, has sold Premier Limpet to Dalpo Group UK, a subsidiary of Poland-based Dalpo Poznan, for a minimum initial consideration of £10.1 million.
Additional consideration is payable at 0.9x any trading EBITDA exceeding £1.4 million for the year ending 31 December, meaning the final price could rise above the initial figure depending on Premier Limpet's performance through the current year.
After repaying associated debt, Amcomri has received net cash proceeds of approximately £7 million from the transaction.
Premier Limpet, which operates two manufacturing facilities in Cambridgeshire and Hertfordshire, delivers approximately 40 million square metres of tape annually and generated revenues of approximately £11.6 million in the year ended 31 December 2025, flat against the prior year, with profit before tax of approximately £0.71 million.
Amcomri acquired the business in 2021 and subsequently expanded it through the March 2024 bolt-on purchase of the trade and assets of Supreme Tapes and Converting, adding water-activated adhesive paper tape to the portfolio.
Chief Executive Hugh Whitcomb said the sale "demonstrates the success of Amcomri's 'Buy, Improve, Build' model, and our ability to systematically develop the latent opportunities that can exist in niche manufacturing and engineering SME businesses."
The transaction completed on 1 July, with proceeds available to the group immediately.
