Roundhouse AI shares make AIM debut after £1.6m placing

Roundhouse AI (LSE:ETHL) began trading on the London Stock Exchange's AIM market on Tuesday, after it raised total gross proceeds of £1.59 million through a placing and a retail offer alongside its admission.

The placing comprised 30m new shares at 5p each, supplemented by a WRAP offer of 1.84m shares at the same price, taking the Company's total issued share capital to 282.09m shares.

Roundhouse builds deployment infrastructure for AI agents and runs an Ethereum-denominated treasury, positioning itself at the crossing point of institutional finance, artificial intelligence and blockchain-based settlement.

Chief executive Matthew Lodge said AI agents are "starting to pay each other and pay businesses," and that market needs "a neutral record of who is paying, who is getting paid, and what it costs."

Roundhouse launched the first version of its Dashboard on 11 September, now live with the Facilitator and initial Reputation Graph features enabled, showing AI agent analytics in real time.

The Dashboard observes and records agent-to-agent and agent-to-merchant transactions built from x402 settlements, an open payment protocol enabling machine-to-machine payments, and on-chain identities.

The company's strategy unfolds in stages: an initial open, free-to-use settlement and identity layer designed to maximise data coverage and adoption, followed by commercial scoring and intelligence features once broader coverage is established.

Although the Dashboard is fully functioning, including its payment function, Roundhouse does not expect to generate material revenue at this stage, with the current focus on building data coverage and drawing interested parties to the platform.

Once sufficient data is integrated, the Company plans to launch two further features, Agent Reputation Scores and the aGDP Index, an aggregate benchmark of AI agent economic activity derived from settlement data, which management expects to generate its initial revenue.

Lodge holds an indirect interest in 78.31m shares, 27.76% of the enlarged capital, through Kaikalani, Fidelio Partners and Marallo Pte Ltd. Other shareholders with stakes above 3% include Satsuma Technology with 8.86% and Pioneer AI Foundry with 5.85%.

"Our dashboard is live and free to use, and our focus now is growing data coverage so we can launch Agent Reputation Scores and the aGDP Index," Lodge said, adding that admission "is just the beginning."
