Bezant Resources (AIM:BZT) has struck an accelerated payment agreement with CL US Minerals covering ownership of the NLZM processing plant, the AIM-listed miner said.

The plant, held under new company name Tsaoxaub Metals, is being upgraded to process copper sulphide and oxide preconcentrate from Bezant's Hope & Gorob mine site in Namibia.

A recent Mineral Resource Estimate update extended the life of mine for the initial Hope open pit to 35 years.

First concentrate production remains on track for September.

Under the accelerated terms, Bezant will pay US$5 million (approximately £3.7 million) by 31 October, which will release the vendor's security under the original Share Purchase Agreement announced 14 August 2025.

A further US$4.98 million (approximately £3.7 million) is payable in quarterly instalments of US$415,000 from 31 March 2029 to 31 December 2031, with a 12.5% annual discount available for early repayment.

The vendor holds a 36-month option to convert up to £2 million of the deferred consideration into Bezant shares at £0.0013145 each.

A third party has expressed interest in co-investing in the accelerated payment, arrangements Bezant said would simplify its financing and security structure, with a further announcement to follow once finalised.

"This agreement is a major step forward in the consolidation of the corporate and financial arrangements for the Hope & Gorob mining venture", said executive chairman Colin Bird, adding that ownership "will be met sooner rather than later", giving the company scope for further upgrades and increased throughput.

News Intelligence what this means for the company

Bezant has locked in accelerated ownership of the NLZM processing plant by committing US$5 million by end of October, with the remainder spread over quarterly payments through 2031 and a 12.5% early-repayment discount available. The deal clears a major structural hurdle ahead of first concentrate production in September and opens the door to third-party co-investment that could ease the company's financing burden—a material step for a 6-person junior miner moving from exploration into production.

Knock-on
  • Hartree Metals LLC, contracted to purchase 100% of Bezant's concentrate, gains clarity on the processing infrastructure that will supply its offtake agreement.
Investment case

Ownership consolidation and third-party co-investment interest reduce execution risk on the path to production, but the company remains dependent on hitting the September concentrate milestone and managing a deferred payment schedule that extends to 2031. The 35-year mine life extension supports long-term project economics, but near-term cash flow and financing capacity remain critical unknowns for a junior with limited disclosure of balance-sheet detail.
