Corporate activity dominated the mining sector today, headlined by a proposed all-share merger that would consolidate Greenland's Jameson Land Basin oil licences under a single Nasdaq-listed vehicle. Elsewhere, deal-making and drilling news moved shares across the exploration spectrum, from a Colombian gold plant acquisition to a strategic pivot into Bitcoin streaming, while established producers Capital Metals and Ferrexpo reported financing progress.

80 Mile agrees indicative all-share merger terms with Greenland Energy

80 Mile (AIM:80M) has agreed indicative terms for an all-share merger with Greenland Energy Company, the Nasdaq-listed partner with which it already jointly holds rights across Greenland's Jameson Land Basin. The London-listed explorer, which spans energy, critical minerals and industrial gas projects across Greenland, Finland and Italy, would exchange each of its shares for 0.01108 new Greenland Energy shares, and shares in 80 Mile rose 5.6% to 0.792p on the news.

Based on Greenland Energy's Nasdaq close of $1.37 on 4 September, the terms value 80 Mile's entire issued share capital at £61.48 million, equivalent to roughly 1.1p per share, a 42.86% premium to the prior day's close and a 64.18% premium to July's placing price. Greenland Energy holds rights to earn up to a 70% working interest across 2.1 million acres of the basin, where independent engineering has identified gross unrisked prospective recoverable resources of approximately 13 billion barrels of oil. A combined entity would fold in 80 Mile's Disko-Nuussuaq copper-nickel project and the Dundas ilmenite deposit alongside Greenland Energy's Nasdaq capital markets access.

"Our ambition is straightforward: to build a great company in Greenland, with Greenland and for Greenland," said Larry Swets, executive chairman of Greenland Energy.

Greenland Energy has already accumulated a 4.42% stake in 80 Mile through market purchases at up to 0.82p a share, effectively setting a floor under any formal Takeover Code offer. The structure gives 80 Mile shareholders a route out of a single-country exploration story and into a broader, better-capitalised platform, but the deal remains conditional on due diligence, unanimous board recommendation and disinterested-director approval at Greenland Energy, with Rule 2.6 forcing Greenland Energy to either commit to a firm offer or walk away by 5pm on 6 October, a deadline that now dictates the stock's near-term trajectory.

Gem Resources agrees all-share deal for Colombian gold plant

Gem Resources (LSE:GEMR), trading at 0.35p, has signed a conditional agreement through its Hong Kong subsidiary GemR Corporation to acquire 100% of CREC Material Co SAS, owner of the El Yarumo gold processing operation in Cauca, Colombia. The consideration is entirely in stock, 150 million new shares at 0.5p each, valuing the target at £750,000, giving Gem Resources exposure to a plant already processing gold-bearing material and generating revenue, according to management information that the company has flagged as not yet independently verified.

Independent engineers who inspected the site in July put sustainable throughput at roughly 2.5 tonnes per hour on the current operating line, rising to roughly 3.7 tonnes per hour combined if a second line is rehabilitated at an estimated cost of $150,000 to $250,000. That modernisation budget is modest relative to the scale of the deal, positioning El Yarumo as a low-capital route to near-term cash flow rather than a multi-year build.

"The key attraction of El Yarumo is that GEMR has signed a conditional agreement to acquire an operating gold processing business rather than a greenfield development project," said Louis Ching, executive chairman. For a company sized in the hundreds of thousands of pounds, buying into revenue-generating infrastructure, even unverified, marks a shift from pure exploration risk toward a producer-adjacent model, though the verification caveat means the market will withhold full credit until due diligence confirms the numbers.

Total Graphite reports strong Vatomina infill drilling results

Total Graphite (LSE:TGR), up 3.18% to 0.9286p, reported encouraging infill drilling results from the Old Mine area of its Vatomina Project in Madagascar. Diamond hole VAT-DD26-026 returned 19 metres at 3.3% total graphitic carbon from 36 metres downhole, including a higher-grade core of 5 metres at 6.82% TGC from 44 metres, confirming continuity of a thick, near-surface graphite seam.

Read alongside historical drilling and mining data dating back to 2018, the result sharpens the company's understanding of the orebody ahead of a planned mine restart. Separate auger drilling and trenching have also exposed a new zone east of the historical workings, the Old Mine Extension, where a completed cross-section points to a potentially significant graphitic resource beyond what was previously modelled.

"These first infill results from the Old Mine area are exactly what we had hoped to see, gives us real confidence in the continuity and quality of the seam," said chairman Christian Dennis. With a restart decision pending, converting historical workings into a de-risked, drill-confirmed resource is the critical step between a legacy mine and a bankable restart case.

Bluebird pivots to gold and Bitcoin streaming after Korea exit

Bluebird Mining Ventures (LSE:BMV), down 5.556% to 0.0425p, has secured an option over the Santa Teresa Gold Project as the first concrete step in a strategic overhaul following the disposal of its South Korean subsidiaries earlier this month. Chief executive Sath Ganesarajah said the sale "closes the legacy chapter of BMV and leaves us with a simpler corporate structure and a clearer platform for growth."

Santa Teresa carries an existing NI 43-101 Inferred Mineral Resource of 64,000 ounces of gold at 8.7 g/t, giving Bluebird exposure to an established, high-grade asset rather than early-stage exploration risk. The company is now organising itself roughly three pillars: Energy Harvesting, capital-light exposure to Bitcoin streaming and related infrastructure; Metal Harvesting, streaming and royalty exposure to gold; and Treasury, the accumulation of Bitcoin and gold, with existing Bitcoin streams generating approximately $13,105 in August.

"Our focus now turns from restructuring to execution," Ganesarajah said. The combination of gold streaming and Bitcoin treasury is an unusual hybrid for a London-listed miner, and the market's muted reaction suggests investors are waiting for the Santa Teresa option to convert into a firm transaction before re-rating the story.

Cloudbreak starts airborne survey at Paterson copper-gold project

Cloudbreak Discovery (CDL), up 6.25% to 0.425p, has launched a district-scale MobileMT geophysical survey across its Paterson Project in Western Australia, targeting concealed copper-gold-molybdenum mineralisation beneath cover.

The airborne programme is designed to generate drill targets across the broader tenement package rather than a single prospect, an early-stage but necessary step in a region increasingly favoured for its buried porphyry potential.

Capital Metals cuts Stage 1 costs as Sri Lanka project nears FID

Capital Di (CAPD), little changed at 112.7p, down 0.27%, has reduced Stage 1 capital costs at its Taprobane mineral sands project to $17.7 million and secured a $4 million strategic investment from a Sri Lankan backer as it moves toward a final investment decision.

The lower capex bar and fresh local capital reduce the funding gap the company must close before sanctioning the project, strengthening the case for a near-term FID.

ECR Minerals finds new gold-bearing reef at Maddens

Ecr Minerals (ECR), up 3.03% to 0.17p, has identified a visibly gold-bearing quartz structure that may link its existing Maddens Mine workings to a wider mineralised system in Victoria, Australia.

The discovery adds a new target to a project already defined by historical workings, potentially extending the known mineralised footprint ahead of further follow-up work.

Ferrexpo secures $15 million loan from largest shareholder Fevamotinico

Ferrexpo (FXPO), up 2.945% to 30.06p, will borrow $15 million from its largest shareholder, Fevamotinico S.à r.l., at an interest rate of 9.75%, repayable through a share subscription arrangement rather than cash.

Structuring repayment through equity rather than cash preserves the iron ore producer's liquidity while deepening its largest shareholder's stake, a financing route that ties Fevamotinico more closely to the company's balance sheet.
