Halma buys US water quality group Pyxis for up to $200m

Halma (LSE:HLMA) has announced it is acquiring Pyxis, a specialist in water quality monitoring and analysis technology.

Pyxis designs sensors and connected systems that measure critical water parameters in real time across industrial, municipal and environmental applications, supporting compliance with environmental standards.

The initial cash consideration for the three separate Pyxis companies totals $170m (approximately £126m) on a cash- and debt-free basis, funded from Halma's existing facilities. A further earn-out of up to $30m (approximately £22m) is payable in cash for the US-based business, tied to Pyxis' performance over the two financial years to 31 March 2028 and 2029.

Founded in 2013 and headquartered near Houston, Texas, the company forecasts unaudited revenue of approximately $39m (roughly £29m) for the 12 months to 31 March 2027.

That implies an initial multiple of roughly 4.4 times forecast revenue on the upfront consideration alone.

Pyxis will operate as a standalone business within Halma's Environmental & Analysis sector, retaining its current management team.
