Empyrean Energy (AIM:EME), the oil and gas exploration company with interests in Australia, Indonesia and the United States, has entered a binding heads of agreement with ADX VIE to acquire a 10% economic interest in the GOLD Cluster in Upper Austria.

The cluster comprises three shallow gas prospects, GOLD, ZAUN and GRAB, spanning roughly 73 square kilometres within ADX.V's ADX-AT-II licence, where ADX plans to drill the GOLD-1 exploration well in the fourth quarter of 2026.

Empyrean will pay a total of €555,400 to earn its stake, equivalent to 20% of the estimated €2.777 million cost cap for the GOLD-1 well, structured across an initial €50,000 option fee, a further €120,600 on signing a definitive investment agreement, and €434,800 once the well's authorisation for expenditure is issued.

The interest will sit in a partnership entitling Empyrean to 10% of net revenues after royalties, while ADX.V, a subsidiary of ASX-listed ADX Energy, remains operator.
