Genel Energy (LSE:GENL) said it is considering its position after DNO announced a recommended cash acquisition of Capricorn Energy.

The Kurdistan-focused oil and gas producer had already agreed a firm intention to make its own cash offer for Capricorn, and, DNO previously bid for Genel, with the offer snubbed by the London-listed firm.

Genel said a further announcement will follow once it has determined its response to the DNO Offer.

News Intelligence what this means for the company

DNO's recommended cash bid for Capricorn Energy on 1 September has upended Genel's own July offer for the same target, forcing Genel to review its position while simultaneously facing DNO's own unsolicited 69p-per-share approach for Genel itself. Genel is now caught in a two-front battle: defending against a rival bidder for its prize acquisition while also fending off a takeover attempt, with both processes running in parallel and creating conflicting disclosure obligations.

Investment case

The emergence of a competing bidder for Capricorn materially weakens Genel's negotiating position and raises the risk that the deal either fails or requires a higher price, eroding the value of the acquisition Genel announced in July. Simultaneously, DNO's hostile approach to Genel itself creates uncertainty about management's ability to execute any strategy, and the parallel offer processes create a complex disclosure environment that may constrain Genel's tactical options.
