Sintana Energy (AIM:SEI), the Toronto and London-listed oil and gas explorer, has signed binding documentation to acquire an indirect 5% participating interest in Block KON-16 in Angola's onshore Kwanza Basin.

The deal, first flagged in May 2025, comprises a share purchase agreement and shareholders' agreement covering CorKon, the Corcel group entity holding an 85% stake in the block.

Total consideration is $2.5 million, made up of a $500,000 payment already made to Corcel and a further $2 million payable on completion.

Sintana also secures a net profit interest of 2.5% of Corcel's net proceeds from the block after first oil, up to aggregate payments of $50 million, dropping to 1.5% thereafter.

Completion depends on Angolan governmental and regulatory approvals plus AIM and TSX Venture Exchange requirements, expected to clear before the end of 2026.

Corcel has completed a geomechanical programme and processed final seismic data from a recent 2D survey, work it says sharpens structural definition across the block and feeds into prospect maturation and well-location selection.

NRG has been appointed to lead engineering and well design for the exploration drilling campaign, with Corcel targeting a pre-salt exploration well in 2027, subject to technical selection, financing, rig availability and partner alignment.

"The continuing progress and emergence of the opportunity on KON-16 positions us to realise on this offshore-scaled resource with an onshore cost," said Robert Bose, chief executive of Sintana Energy.

Further updates are expected over the coming quarters.

News Intelligence what this means for the company

Sintana has signed a binding agreement to acquire a 5% indirect stake in Angola's Block KON-16 for $2.5 million upfront plus a 2.5% net profit interest capped at $50 million. The deal hinges on Angolan regulatory approval and exchange listing clearance by end-2026, with an exploration well targeted for 2027. This adds a new onshore Angola play to Sintana's South American-focused portfolio, but remains contingent on multiple approvals and future financing.

Investment case

The Angola entry is a low-cash-outlay farm-in ($2.5 million against Sintana's expected $6.75 million of inflows over six months as of July 2026) with upside tied to first oil and net profit sharing. However, execution risk is material: regulatory approval, rig availability, and partner alignment all condition the 2027 well, and the deal does not close until those approvals clear.
