Verici Dx opens retail offer after £8.5m placing

by tickstock newsroom · Editor JMA

Verici Dx (LSE:VRCI) has launched a retail offer of up to £250,000 via the Winterflood Retail Access Platform, running alongside a much larger £8.5m institutional placing announced earlier the same day.

The AIM-listed diagnostics company, which develops blood and genetic tests for organ transplant patients, will issue up to 125m new shares under the retail offer at 0.2p each, matching the placing price. The £8.5m placing comprises 4.25bn new shares, split between 1.68bn firm placing shares issued under existing authorities and 2.57bn conditional placing shares requiring new shareholder authority.

The 0.2p issue price represents an 11.1% discount to the mid-market closing price on 30 September, the last trading day before Verici Dx's shares were suspended when the company entered a Capital Access Window on 1 October.

The fundraising follows a June placing that raised approximately £2.5m at 0.35p per share, when Verici Dx said it held unaudited net cash of approximately $1.3m as at 31 March, against a $3.3m position at the end of 2025, and pro forma cash of around $4.6m after that raise was expected to provide runway to at least the end of 2026.

That earlier round backed a commercial push behind Tutivia, Verici Dx's lead test for detecting acute rejection after kidney transplant, which generated $2.9m of revenue in 2025 after moving from pilot to initial commercial traction, with test orders up around 250% year-on-year to 1,173.

The company has since added regulatory and operational milestones, including New York State clinical laboratory certification completing its authorisation across all 50 US states, a CPT Proprietary Laboratory Analyses code for its Protega test, and Olink Certified Service Provider status within Thermo Fisher's Life Sciences Solutions.

Retail investors may be eligible for Enterprise Investment Scheme relief, though Verici Dx cautioned that its EIS advance assurance dates to 11 July 2025 and it has not sought an updated assurance, so relief cannot be guaranteed.

The retail offer carries a £100 minimum subscription and is expected to close at 4.30pm on 12 October, with results announced on 13 October.
