Deal-making dominates the small-cap tape, with Ceps Group's bolt-on acquisition of an educational products specialist leading a day thick with corporate action. Likewise Group moved to pick up flooring distribution assets out of two administrations, Helix Exploration struck its best-ever helium reading in Montana, and Brave Bison sweetened its pursuit of System1. Elsewhere, resource explorers from Nevada to Namibia delivered a steady drumbeat of drilling updates.

Ceps buys Primary Teaching Services in £4.6m bolt-on

Ceps Group (AIM:CEPS) has expanded its educational products arm after its 75%-owned subsidiary, Aford Awards Group Holdings, agreed to acquire Primary Teaching Services, a deal the company frames as value-adding rather than transformational. The East Yorkshire-based target, established in 1995, makes motivational products and classroom resources, stickers, stampers, badges, certificates and merit charts, used across UK primary schools, giving Ceps a complementary addition to its existing educational supplies business. Shares in Ceps eased 2.19% to 39.125p on the news, moving opposite to the deal's logic as the market digested the financing structure.

The transaction values Primary Teaching Services at up to £4.59m, comprising £3.016m in cash on completion plus debt and equity facilities, with a further £600,000 contingent on performance. The target generated unaudited revenue of £4.4m and pre-tax profit of £594,200 in the year to 28 February, with net assets of £1.46m; Ceps' board estimates normalised EBITDA of roughly £810,000 once non-continuing costs are stripped out post-completion. Aford Awards will hold 90% of the enlarged entity, with the remaining 10% retained by the incumbent management team, aligning their incentives with the integration.

"This bolt-on acquisition aligns with CEPS' value creation strategy for shareholders," said David Horner, Chairman of Ceps.

The structure, majority cash, deferred earn-out, and a retained management stake, signals a disciplined approach to bolt-on growth rather than a stretch acquisition, and the roughly 7x-EBITDA-equivalent pricing looks conservative against the target's profitability. For a group whose strategy rests on compounding value through subsidiary acquisitions, folding a profitable, cash-generative niche supplier into Aford Awards strengthens the educational products platform without materially straining the balance sheet, even if the immediate share price reaction suggests investors want to see integration proof before re-rating the stock.

Likewise becomes UK's largest flooring distributor via Headlam assets

Likewise Group (AIM:LIKE) has agreed to buy a package of assets out of the administrations of Headlam Group and HFD for £14.9m plus VAT, funded entirely from existing cash, in a move the board says makes it the UK's largest floor coverings distributor. Shares dipped 2.857% to 33.9p despite the scale of the consolidation, as the market weighed the cash outlay against the strategic prize.

Through subsidiaries Likewise Holdings and Likewise Floors, the group is acquiring Headlam's 90,000 sq ft freehold Thatcham Distribution Centre along with its operating assets and on-site inventory, the trade and assets of Crucial Trading and Concept Flooring, and principal intellectual property, all from joint administrators at Interpath. Roughly 110 employees across the three sites are expected to transfer, and Likewise has separately agreed to act as sales agent for the administrators over the next nine months, extending its reach into the wind-down of Headlam's remaining operations.

"The Acquisition is a key milestone for the Group as it now becomes the leading distributor of floor coverings in the UK, adds significant capacity to the growing Likewise distribution network," said Tony Brewer, Chief Executive. The deal crystallises consolidation in a sector where a major incumbent's collapse has handed surviving operators both market share and distressed-priced freehold capacity, a rare structural tailwind that reshapes Likewise's competitive position well beyond the immediate earnings contribution.

Helix Exploration records strongest-ever helium reading at Ollie well

Helix Exploration (AIM:HEX) has completed the Ollie #1 well at its Rudyard helium project in Montana, reaching 6,311 ft in 20 days with casing set and cemented to surface. Mudlog readings hit 4,800 parts per million of helium during drilling, the highest ever recorded at Rudyard and four times the field's previous high of 1,200 ppm, with shares at 22.75p.

Ollie #1 sits in the Northern Dome of the Rudyard field, about a mile north of the Weil #1 well, and is intended to become the fourth production well feeding the site's pressure swing adsorption plant. The company completed the well ahead of schedule and under budget, a result it credits to owning its drilling rig outright following the acquisition of Treasure State Drilling and its Cardwell KB-150 rig earlier this year.

"We are delighted to complete Ollie #1 under budget and in record time, a benefit of the Company owning its own drilling equipment, the highest I have encountered in my career to date," Bo Sears, Chief Executive, who, confirmed Ross #1 has been designated the next helium well in the production expansion programme. The owned-rig model is proving its economics in real time, and a reading four times the field's prior best suggests Rudyard's resource may be materially richer than earlier wells indicated.

Beacon Energy deadline lapses without derailing Colle Santo deal

Beacon Energy (AIM:BCE), the gas developer focused on the Colle Santo project in Italy, confirmed the 6 October long stop date for its Second Acquisition of a further indirect interest in LNEnergy has passed without an extension agreed with Reabold Resources. Shares rose 4.895% to 3.0p even as the deadline lapsed, with the Share Purchase Agreement remaining in full force and neither party exercising the option to walk away.

Beacon completed the First Acquisition on 6 March, taking an indirect interest of approximately 24% in LNEnergy; the Second Acquisition would lift that stake to roughly 48%, equivalent to approximately 43.2% of the Colle Santo asset itself. Completion remains conditional on the award of the Production Concession for Colle Santo to LNEnergy Srl, a 90%-owned subsidiary. Should the deal fail to complete, both Beacon and Reabold would retain their approximate 24% indirect interests.

"LNEnergy continues to progress the Colle Santo project with well testing operations anticipated to commence in the coming weeks," said Stewart MacDonald, Chief Executive. The lapsed deadline without collapse suggests both parties still see value in doubling Beacon's exposure once regulatory sign-off lands, keeping the enlarged stake live rather than shelved.
